Companies under economic stress or with a struggling business often turn to formal insolvency and restructuring mechanisms to either help them recover, or where there is no hope for turnaround, close up shop. The law tries to seek a fair balance between creditor rights on the one hand, and other stakeholder interests on the other, including employees, tort victims, tax authorities and the public at large. COVID-19 has prompted a number of temporary changes to Malta’s insolvency laws that impact this delicate balance – the effects of which will certainly be felt in years to come.

Background Information

On 15 September 2020, the Minister for the Economy, Investment and Small Businesses published the Companies Act (Suspension of Filing for Dissolution and Winding Up) Regulations, 2020. The changes will impact the extent to which companies may continue to carry on business for the duration of the COVID-19 pandemic.

Objectives of the session

A brief introduction to the various routes towards company dissolution and winding-up, with a particular focus on court winding-up due to insolvency. The session will then discuss the changes made to Malta’s insolvency laws to help companies cope with the economic impact of the novel coronavirus, and what this means for companies, their directors, and their creditors.

Speaker's Bio

George Bugeja is a Senior Associate at Ganado Advocates, focusing his practice on commercial and company law matters, including insolvency and restructuring. He completed a Doctor of Laws degree at the University of Malta in 2010, and read for a Master in Laws at University College London in 2011. In 2018 he was awarded a Doctor of Philosophy in Law (PhD) by Kings’ College London having carried out his research on certain aspects of banking and insolvency law.
Luisa Cassar Pullicino is an Advocate at Ganado Advocates, assisting clients from various industries in civil and commercial disputes, with a special focus on cross-border litigation, international commercial arbitration, and corporate restructuring and insolvency litigation. She completed a Master of Advocacy at the University of Malta in 2017, and read for a Magister Juris at the University of Oxford in 2018.
